This Contractor Portal Terms of Service (this "Agreement") is entered into by and between Daily Adventure Box, Inc., a North Carolina corporation ("DAB"), and the individual accessing the Contractor Portal ("you" or "Contractor").

1. Eligibility & Access

  1. Access is granted only to individuals who are approved DAB independent contractors and have executed the Fund Adventure Portal Terms of Service & Box Ownership Agreement.
  2. Credentials are personal and non-transferable. You are responsible for all activity under your account.
  3. DAB may revoke access at any time for breach of this Agreement, the Fund Adventure Terms, the Confidentiality Agreement, or conduct detrimental to DAB's business.

2. Independent Contractor Status

  1. You are an independent contractor — not an employee, agent, partner, joint venturer, or franchisee of DAB. Nothing in this Agreement creates any such relationship.
  2. You have no authority to bind DAB, make commitments on DAB's behalf, or represent yourself as an employee or agent to any third party.
  3. DAB does not control the manner, method, means, or schedule by which you perform marketing activities — only the results to be achieved and brand compliance.
  4. You are free to perform services for other businesses, provided they do not violate the non-compete or confidentiality provisions of your agreements with DAB.

3. Scope of Contractor Services

Your responsibilities include:

  1. Location Marketing: Promoting assigned Location(s) through personal networks, social media, local outreach, community engagement, and other lawful marketing efforts.
  2. Brand Compliance: All materials using DAB's name, logo, or trademarks must comply with brand guidelines and receive DAB's pre-approval.
  3. Reporting: Providing updates on marketing activities through the Contractor Portal when requested.
  4. Legal Compliance: Complying with all applicable laws, including FTC guidelines on endorsements and testimonials (16 C.F.R. §255) and truth-in-advertising laws.
  5. Safety Communication: When marketing water sports equipment, reminding prospective renters of U.S. Coast Guard PFD requirements, weather/water condition awareness, and safety best practices.

You are NOT responsible for: equipment maintenance, locker operations, renter customer service, equipment replacement, pricing decisions, or any operational aspect of the rental business.

4. Compensation

  1. Compensation is the Buyback — as defined in the Fund Adventure Portal Terms. No wages, hourly pay, commissions, bonuses, or other regular compensation are provided.
  2. You are solely responsible for all taxes, including income and self-employment tax. DAB may issue IRS Form 1099-NEC as required by law.
  3. You are not entitled to any employee benefits (health insurance, retirement, workers' compensation, unemployment insurance, or similar).

5. Contractor Portal Features

The Portal may provide: location performance dashboards; marketing resources and brand assets; communication tools; training materials; task management; and calendar integration. DAB may add, modify, or remove features at any time without prior notice.

6. Acceptable Use & Prohibited Conduct

You shall NOT:

  1. Share access credentials with any third party;
  2. Access another contractor's account or data;
  3. Attempt to reverse engineer, hack, or compromise Portal security;
  4. Use Portal data for any unauthorized purpose;
  5. Represent DAB or Fund Adventure as a security, investment, or passive income opportunity;
  6. Make guarantees about income, returns, or buyback timelines;
  7. Use DAB branding without pre-approval;
  8. Make safety claims or imply equipment is risk-free;
  9. Encourage equipment use without proper safety equipment or during hazardous conditions; or
  10. Engage in any activity that could harm DAB's reputation or business relationships.

7. Confidentiality

All data, analytics, business information, and communications accessed through the Contractor Portal constitute Confidential Information as defined in your Confidentiality Agreement or, if none is separately executed, Section 11 of the Fund Adventure Portal Terms. Strict confidentiality is required.

8. Intellectual Property

  1. DAB owns all IP rights in the Contractor Portal.
  2. Marketing materials created using DAB brand assets are the property of DAB. You assign all rights therein to DAB.
  3. You receive a limited, revocable, non-exclusive license to use DAB-approved assets for authorized marketing only.

9. Data Privacy

Subject to DAB's Privacy Policy at www.dailyadventurebox.com/privacy-policy. The Portal may collect login history, feature usage, task completion, and communications, used solely for managing the contractor relationship.

10. Termination

  1. By You: Contact support@dailyadventurebox.com. Owned Boxes continue toward Buyback.
  2. By DAB: Immediate termination for material breach, misrepresentation, or detrimental conduct.
  3. Effect: Portal access revoked. Cease all marketing. Return or destroy DAB materials. Confidentiality survives.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DAB SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE CONTRACTOR PORTAL OR CONTRACTOR ACTIVITIES. DAB'S TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL BUYBACK PAYMENTS MADE TO YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You indemnify, defend, and hold harmless DAB Parties from claims arising from: (a) your marketing activities; (b) your violation of any law; (c) your breach of this Agreement; or (d) any misrepresentation to third parties about DAB or Fund Adventure.

13. Dispute Resolution

Subject to the dispute resolution provisions of the Fund Adventure Portal Terms, including binding arbitration (Federal Arbitration Act), class action waiver, and jury trial waiver. Venue: Johnston County, North Carolina.

14. Governing Law & Nationwide Enforceability

Governed by North Carolina law, without regard to conflict-of-law principles, except where mandatory local law cannot be waived. Enforceable in all 50 U.S. states; provisions reformed to the minimum extent necessary if required.

15. Entire Agreement

This Agreement, together with the Fund Adventure Portal Terms, Confidentiality Agreement, and Privacy Policy, constitutes the entire agreement. In the event of conflict, the Fund Adventure Portal Terms control.

16. Modifications

DAB may modify by posting updated terms. Material changes communicated via email. Continued use constitutes acceptance.

IN WITNESS WHEREOF, by accessing the Contractor Portal and/or executing this Agreement electronically, you agree to all terms herein.
